In December 2004, an investor group comprised of Hellman & Friedman LLC, the San Francisco-based private equity firm and JMI Equity, a San Diego-based venture capital firm exclusively focused on the software and business service industries acquired Vertafore, Inc.

Hellman & Friedman LLC is a San Francisco-based private equity investment firm with additional offices in New York City and London. Since its founding in 1984, the Firm has raised and managed over $8 billion of committed capital and invested in approximately 50 companies. The Firm's strategy is to invest in superior business franchises and to be a value-added partner to management in select industries, including media, financial services, professional services and information services. Representative investments in information services include Blackbaud, Inc. (BLKB), Mitchell International, Inc., and National Information Consortium; in insurance include: Arch Capital Group Ltd. David Tunnell is a managing director of Hellman & Friedman. Mr. Tunnell's primary focus areas are the insurance and software/information services sectors. Mr. Tunnell is chairman of the board of Activant Solutions, Inc. and Vertafore, Inc. and a director of GeoVera Insurance Group Holdings, Ltd., Intergraph Corporation and PARIS RE Holdings Limited. He was formerly a director of Arch Capital Group Ltd., Blackbaud, Inc. and Eastern Sea Laem Chabang Terminal Co., Ltd.

Mr. Tunnell originally joined the firm in 1994. He was previously employed by the Banking Group of Lazard Frères & Co. in New York.

Mr. Tunnell graduated magna cum laude from Harvard College and earned an MBA from the Harvard Business School. Mr. Tunnell also is a term member of the Council on Foreign Relations.

Allen Thorpe is a managing director of Hellman & Friedman and helps lead the firm's New York office. Mr. Thorpe's primary areas of focus are the financial services, asset management, information services/software and energy sectors. Mr. Thorpe is currently a director of LPL Holdings, Inc., Mondrian Investment Partners Ltd., Mitchell International, Inc., Activant Solutions, Inc. and Vertafore, Inc. and is active in the firm's investment in Artisan Partners Limited Partnership.

Prior to joining the firm in 1999, Mr. Thorpe was a vice president with Pacific Equity Partners in Sydney and a manager at Bain & Company in Sydney. He was previously a consultant in Bain's San Francisco office.

Mr. Thorpe graduated with Distinction from Stanford University and was a Baker Scholar at the Harvard Business School. He is also a term member of the Council on Foreign Relations.

Andy Ballard is a managing director of Hellman & Friedman. Mr. Ballard serves as a director of Activant Solutions, Inc., DoubleClick, Inc. and Vertafore, Inc.

Prior to joining the firm in 2004, Mr. Ballard was employed by Bain Capital in San Francisco and Boston.

Mr. Ballard graduated cum laude from Harvard College and earned an MBA from the Stanford Graduate School of Business.

Paul V. Barber joined JMI in 1998 and is based in San Diego, California. Mr. Barber is currently a Director of Activant Solutions, Inc., Intergraph Corporation, Kronos, Inc., Service-now.com Inc., TC³ Health, Inc. and Vertafore, Inc. and oversees JMI’s investments in Attachmate Corporation and Global 360, Inc. His past JMI investment experience includes Blackbaud, Inc., DoubleClick, Inc., eBenX, Inc., Mitchell International, Inc., National Bankcard Association, Inc. and XtraCash, Inc. Additionally, Mr. Barber was a Director of Sterling Software, Inc. and a Trustee of Stanford University.

Prior to joining the Firm in 1998, Mr. Barber was Managing Director and Head of the Software Investment Banking Practice at Alex. Brown. Prior to joining Alex. Brown, Mr. Barber worked in Product Marketing at Microsoft Corporation and in investment banking at Merrill Lynch & Co.

Mr. Barber graduated from Stanford University and the Harvard Business School.

Andrew M. Leitch is a director and serves as the chair for the Audit Committee for Vertafore, Inc. Mr. Leitch is currently an independent director for other public and private companies and serves as chairman and/or as a member of the Audit Committee for three additional Nasdaq companies.

Until his retirement in 2000, Mr. Leitch was a senior partner for more than 20 years at Deloitte & Touche. During his tenure, Mr. Leitch was deeply involved in international business with direct responsibility for its Asian operations in the 1980's. Leitch negotiated and directed the opening of Deloitte & Touche’s China practice and played a lead role in achieving its successful merger with a Hong Kong accounting firm. At that time, the merger resulted in the largest accounting firm in Hong Kong with over 2,500 personnel. Leitch launched Deloitte & Touche’s Asia Board of Partners and managed its initiatives serving as Chairman through 1990.

Euan Menzies has been president and chief executive officer of Vertafore, Inc. (formerly AMS Group) since early 2001. He initially joined the company in September 2000 as president and chief operating officer. Mr. Menzies has extensive general management experience in the business-to-business information and software arena. He held a number of senior positions with The Thomson Corporation, most notably as the president and CEO of RIA Group. RIA Group was focused on providing information and software solutions to the global professional and regulatory markets, including accounting and taxation, corporate finance, and human resources.

In addition, Mr. Menzies served as chairman and CEO with iClick, a business which hosted workflow management applications in the human resources arena. Earlier in his career, Mr. Menzies was a senior manager with KPMG Peat Marwick, in New York City and the United Kingdom.

He is a graduate of Glasgow University in Scotland, and is a chartered accountant (CA) in the United Kingdom.
